CANADA: Loblaw In C$12.4bn Deal For Shoppers Drug Mart


Loblaw has announced a deal to acquire Shoppers Drug Mart for C$12.4bn, in a move that will lead to the teaming up of Canada?s largest grocery and drugstore chains. The deal comes just weeks after Sobey?s, the country?s No.2 grocer, acquired Safeway Inc?s local assets for $5.7bn.

Such deals are accelerating as Walmart and Target continue to expand across the country. The Loblaw-SDM deal will create a retail entity with more than C$42bn in revenue, and one that operates more than 2,400 outlets across the country. Under the deal, Shoppers Drug Mart shareholders will own about 29% of the combined company. The drugstore chain will also retain its name and brand and will operate as a separate division of Loblaw.

The companies said they do not plan to shut down any of the existing SDM or Loblaw outlets, nor do they foresee any layoffs. They added that they will cross-market their loyalty programmes, and will offer their respective own label ranges in each others stores, eventually creating a combined own label brand.

Loblaw already operates pharmacies in some of its stores, but it said the deal will significantly boost its position in the market (currently 5% of Canada?s pharmacy market). The deal also gives the grocer access to a network of smaller stores in urban neighbourhoods, allowing it to reach new customers.

The deal is subject to regulatory approval, although both firms said they expect to complete the same in six to seven months. Both firms said they do not expect to be asked to sell substantial assets, insisting that that the deal would not significantly change market share in their food and pharmacy businesses.

The acquisition is expected to generate annual cost savings of C$300m by the third year.

In setback for broadcasters, U.S. court won't rehear Aereo appeal

NEW YORK (Reuters) - In another win for Barry Diller's IAC-backed Aereo Inc, a U.S. appeals court declined on Tuesday to rehear an appeal by the major broadcasters seeking to temporarily shut down the online television start-up.

The broadcasters, including Walt Disney Co's ABC and Comcast Corp's NBCUniversal, contend Aereo infringes their copyrights. In April, a panel of the U.S. 2nd Circuit Court of Appeals refused to close down Aereo while a lawsuit over the service continued in Manhattan federal court.

The broadcasters had asked the full court to rehear the appeal, but the majority of the court on Tuesday declined. In dissent, U.S. Circuit Judge Denny Chin, joined by circuit judge Richard Wesley, said the full court should hear the case and that Aereo's reliance on precedent in arguing that its technology does not infringe the networks rights is "misplaced."

The case has been closely watched by the television industry because Aereo's service threatens the traditional broadcast model and broadcasters see Aereo as a challenge to their ability to control subscription fees and generate advertising income.

Aereo charges users about $12 a month to watch live or recorded TV channels on their computers or mobile devices. The company, which does not pay licensing fees to the broadcasters, streams the televised content to subscribers via tiny off-site antennas.

Scott Grogin, a representative for plaintiff Fox Networks Group, called the court's decision disappointing but not unexpected. Fox is reviewing its options, including whether to seek review by the U.S. Supreme Court, Grogin said.

CBS Broadcasting Inc also called the decision "no surprise" and said that "all industry lawsuits against Aereo and similar services that steal our content are going forward as planned."

ABC and NBC did not immediately respond to a request for comment. Aereo said it was pleased by Tuesday's ruling.

Shortly after Aereo launched in March 2012, the broadcasters sued the company in Manhattan federal court, claiming the technology infringed their copyrights because the transmission of the content resulted in a "public performance" of the shows. Under U.S. copyright law, copyright owners have the exclusive right to perform their works.

The lawsuit is currently in the discovery phase, and the broadcasters are asking both for money damages and that the service be permanently shut down.

Aereo is also fighting a court battle in Boston, where it expanded its service in May. Last week, Hearst Television Inc's WCVB-TV filed a lawsuit in federal court asking that court to forbid Aereo from streaming its content.

Aereo expanded to the Atlanta area in June and has announced plans to launch in Chicago in September.

The cases are CBS Broadcasting Inc et al v. AEREO Inc and WNET et al v. AEREO Inc, 2nd U.S. Circuit Court of Appeals, Nos. 12-2807 and 12-2786.

Thai to increase A380 service to Japan

London and Hong Kong are set to lose Thai Airways' A380 service in favour of Tokyo and Osaka.

As we confirmed earlier this month (see online news, July 2),?Thai has postponed deploying the A380 on the Bangkok to London route until the end of October 2014.

And now Thai's existing daily A380 service to Hong Kong (for a review, click here) will be "downgraded" to a B747 by the end of October this year.

Thai has ordered six A380s. It currently operates four, with the remaining A380s due to start arriving towards the end of the year.

According to thaiairways.com, the freed-up A380 capacity plus the new plane or planes will be used to upgrade services to Osaka and Tokyo.

From October 27, flights TG622 (depart Bangkok 2315, arrive Osaka 0625) and TG623 (depart Osaka 1100, arrive Bangkok 1545) will be converted to A380 service.

From December 1, Thai will use the A380 to operate two of its three daily flights into Tokyo Narita. One service is already flown by an A380 so the new A380 flights will be TG676 (depart Bangkok 0800, arrive Tokyo 1550) and TG677 (depart Tokyo 1730, arrive Bangkok 2230).

Besides being good news for Asian travellers, it is also welcome news for round-the-world travellers using the Star Alliance ticket or for Europeans, heading for Japan, who may wish to stop over in Thailand.

It is true that technical issues - the official reason given by Thai - with its existing superjumbos have prompted the carrier to delay its A380 London service. But one can't help thinking that commercial reasons also played a role.

Why??Simply put, Thai will surely find it more profitable to operate the A380 to Tokyo or Osaka.

Here are three reasons:

  1. The A380s achieve better utilisation, because of the shorter flight time, when flying to Japan. One A380 can easily accomplish a daily Bangkok to Tokyo service whereas two A380s are required for a daily Bangkok-London operation,
  2. Many passengers will be paying for their tickets in valuable Japanese Yen. The base fare (before taxes/charges/fees) for a mid-week economy return in December from Tokyo to Bangkok is almost the same price as London-Bangkok return for the same dates. Yet the latter is roughly twice the distance,
  3. Thai faces less competition on its Japanese routes. There are no Gulf carriers with their keener pricing to worry about.

Earlier this month, it emerged that from October 27 Thai will upgrade its third Scandinavian destination, namely Oslo, to a newish B777-300ER (from the previously scheduled B747) to better compete with budget carrier Norwegian (see online news, July 3).

Remember that all these plans revolve around aircraft availability, so bear this in mind.

Teletek Wire ? Google India to launch WeOW initiative to help ...

Google India is launching its Women Entrepreneurs on the Web (WeOW) initiative to help women entrepreneurs connect, grow their online presence and utilise Google products to launch and scale their businesses in tier-II and tier-III towns. The latest initiative comes 18 months after its launch in tier-I cities, and it will eventually move into rural areas.

WeOW focuses on women entrepreneurs. ?We tell them: ?Get your business online. We will build it for free?,? says Rajan Anandan, managing director, Google India. Google estimates the number of women entrepreneurs in India at 1.3 million, more than any other country barring the US and China. ?Imagine the impact these women can have on the entrepreneurial ecosystem. This is not just a diversity decision, but a core business decision,? says Anandan.

WeoW was conceptualised by a few Googlers from Hyderabad in 2011. The business leaders at Google were receptive to the idea and in January 2012, the initiative was launched. ?The focus was how the internet can empower women, how these entrepreneurs can sell online, and how they can connect with the customers. So, there is education, training, creating a community where they can support each other,? says Anandan.

Google says it has 2,000 deeply engaged entrepreneurs in the programme. ?Local heroes have emerged. Going where India needs to be, we need millions of entrepreneurs,? says Anandan. The success of WeOW has prompted Google to take the initiative to other countries. ?The initiative was started in India and is now being piloted in Russia and Singapore where it is being tweaked keeping in mind the maturity of the entrepreneurial ecosystem.?

Moving into tier-II and tier-III towns, Google has not set a target. ?We have the capacity to handle large numbers. We have not set a target, but the possibilities are immense considering 45% of internet users come from non-metros,? says Anandan. Google will reach out to the women entrepreneurs in new geographies through word of mouth and actively looks at connecting with entrepreneurs already in the area.

One of the Googlers who thought about the concept, Keerthana Mohan, diversity and inclusion manager, recalls: ?We were looking at market diversity. When we spoke to women entrepreneurs, we quickly gauged two things ? an entrepreneurial appetite and the need for a lot more exposure online.?

Mohan explains that the content and form of the programme for Singapore and Russia are similar though the programme audiences are at different points in their entrepreneurial journey.

Fish Oil May Increase Risk Of Prostate Cancer

Millions of Americans take a fish oil supplement daily in an attempt to avoid heart disease and other ailments, but doing so may have a major negative side-effect for men.

A study published in the Journal of the National Cancer Institute suggests that having high levels of omega-3 fatty acids in their system may create a higher risk of prostate cancer in men.

The lead author of the study, Dr. Theodore Brasky, who is also a research assistant professor at the Ohio State University Comprehensive Cancer Center, said of the findings that ?These anti-inflammatory omega-3s were associated with a 43 percent increased risk for prostate cancer overall, and a 71 percent increased risk in aggressive prostate cancer.?

This news will likely cause the popularity of fish oil as a dietary supplement to take a hit. The fact that this news is such a shock is a testament to how Americans who are looking to stay healthy turn to supplements to provide what they feel they are lacking in their diet. But it also goes deeper than that; the news could also affect how often men trying to stave off heart disease choose to eat fish.

In the end, it is still up to the individual man to maintain his health and consult a doctor when they feel that something in their life needs tweaking. There is no miracle pill to ward off disease, and thinking that one does exist could possibly lead to unforeseen consequences.

Jiminy! Busy Philipps and hubby Marc Silverstein didn't immediately announce a name to go with the adorable baby girl they showed off last week upon arrival, with Philipps noting that they were still in the process of picking one out.

Well, they narrowed it down, and E! News has exclusively learned what they decided on.

"Thank you all for the warm wishes for our new little ladybug! It's been so sweet to read them all!!" Philipps tweeted Tuesday.

Perhaps the "ladybug" shout-out was an indicator that they were headed toward an insect-inspired name, though it also seemed a fair guess that they would go with something that started with a "B," like her sister and mom.

But while she has an adorably unique name like Birdie and Busy, Cricket shall be in a class of her own.

Philipps later tweeted, apparently in response to the feedback: "It's weird people think my kids will be in therapy because of their names. Guys, my kids will be therapy for LOTS of reasons, I'm sure."
